Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, platforms, and services provided by Useful Software Technology Sdn Bhd ("Useful Software", "we", "us", or "our"), including our e-commerce platform, CRM system, AI agents, custom software solutions, and cloud hosting services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use our Services.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use our Services. If you are using the Services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

2. Account Registration

To access certain features of our Services, you may need to create an account. When you do, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and update your account information to keep it accurate.
• Keep your login credentials confidential and not share them with third parties.
• Notify us immediately of any unauthorized use of your account.

You are responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

3. Description of Services

Useful Software provides a suite of business management tools, including but not limited to:

• E-Commerce Platform: Online storefront management, inventory tracking, order processing, payment integration, and sales analytics.
• CRM System: Customer relationship management including contact management, sales pipeline tracking, automated campaigns, and communication logging.
• AI Agents: Automated customer support, lead qualification, and operational monitoring powered by artificial intelligence.
• Custom Software Development: Bespoke software solutions designed and built to your specifications, governed by separate project agreements.
• Cloud Hosting: Managed cloud infrastructure with high availability, automated scaling, and security monitoring.

We reserve the right to modify, update, or discontinue any part of our Services at any time. We will provide reasonable notice of material changes that affect your use of the Services.

4. Acceptable Use

You agree not to use our Services to:

• Violate any applicable local, national, or international law or regulation.
• Upload, transmit, or store any content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable.
• Interfere with, disrupt, or compromise the integrity or security of our Services or servers.
• Attempt to gain unauthorized access to any part of the Services, other accounts, or computer systems.
• Use the Services to send spam, unsolicited messages, or engage in phishing.
• Reverse engineer, decompile, or disassemble any part of the Services.
• Use our AI agents to generate content that is illegal, harmful, or violates third-party rights.
• Resell, sublicense, or redistribute our Services without our prior written consent.

5. Your Data

You retain ownership of all data, content, and materials you upload, input, or transmit through our Services ("Your Data"). By using our Services, you grant us a limited, non-exclusive license to use, process, and store Your Data solely for the purpose of providing and improving our Services.

You are solely responsible for the accuracy, quality, legality, and appropriateness of Your Data. You represent that you have all necessary rights and permissions to use and share the data you input into our platform, including any customer data processed through our CRM or e-commerce tools.

We will not access, use, or share Your Data except as necessary to provide the Services, comply with law, or as described in our Privacy Policy.

6. AI Agent Services

Our AI agents are designed to assist with customer support, lead qualification, and operational tasks. You acknowledge that:

• AI-generated responses are automated and may not always be accurate or complete. You should verify important information before acting on it.
• AI interactions may be reviewed by our team for quality improvement purposes.
• AI agent content processed through third-party AI providers is subject to those providers' terms and data handling practices.
• You are responsible for reviewing and approving any actions taken by AI agents on your behalf, including automated customer communications.

7. Payment and Billing

Certain Services require payment of fees. If you subscribe to a paid plan:

• You agree to pay all fees associated with your selected plan. Fees are stated in Malaysian Ringgit (MYR) unless otherwise indicated.
• Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date.
• We reserve the right to change pricing with at least 30 days' written notice. Continued use after a price change constitutes acceptance.
• Refunds are handled on a case-by-case basis. Contact us at billing@usefulsoft.my for billing inquiries.

8. Intellectual Property

All intellectual property rights in the Services — including software, design, trademarks, logos, documentation, and content — are owned by Useful Software Technology Sdn Bhd or our licensors. Nothing in these Terms grants you any right, title, or interest in our intellectual property except the limited right to use the Services as permitted under these Terms.

For custom software development projects, intellectual property ownership will be defined in the separate project agreement between you and Useful Software.

9. Service Availability

We strive to maintain high availability of our Services. For cloud hosting customers, specific uptime guarantees and service level agreements (SLAs) are defined in your service agreement. We are not liable for interruptions caused by factors beyond our reasonable control, including internet outages, force majeure events, or third-party service failures.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, USEFUL SOFTWARE AND ITS DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

12. Indemnification

You agree to indemnify and hold harmless Useful Software Technology Sdn Bhd, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Services, your violation of these Terms, or your violation of any third-party rights.

13. Termination

Either party may terminate these Terms at any time. You may stop using the Services and close your account by contacting us. We may suspend or terminate your access if you violate these Terms or if we discontinue the Services.

Upon termination, your right to use the Services ceases immediately. We will make Your Data available for export for 30 days following termination, after which it may be permanently deleted.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of Malaysia. Any disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.

15. Changes to These Terms

We may revise these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Effective Date" above. Your continued use of our Services after changes are posted constitutes your acceptance of the revised Terms.
